Contributor License Agreement

I. Introduction

This Contributor License Agreement (“Agreement”) is entered into by and between B. TECH & INNOVATIONS OÜ, a company registered in Estonia under registry code 16973747 with its registered office at Harju maakond, Tallinn, Põhja-Tallinna
linnaosa, Põhja pst 5-8, 10412 (“Company”), and you (“Contributor”). This Agreement sets forth the terms under which you agree to contribute certain code, documentation, and other forms of intellectual property to the BLOCX project managed by the Company.

II. Definitions

• “Contribution”: Any form of work that is submitted to the Company by you, including any source code, object code, patch, tool, sample, graphic, specification, manual, documentation, or any other material.
• “Project”: Refers to the BLOCX project managed by the Company.
• “Submit”: Actual submission of a Contribution to the Project, via any medium authorized or managed by the Company.

III. License Grant

A. Grant to the Company

You hereby grant to the Company and its affiliates, a non-exclusive, irrevocable, worldwide, royalty-free license, with the rights to sublicense, to reproduce, prepare derivative works of, publicly display, publicly perform, distribute, and otherwise use your Contributions as part of the Project, and in connection with the promotion and distribution of the Project in any form.

B. Grant to Other Contributors

You hereby grant to any individual or legal entity contributing to the Project a non-exclusive, worldwide, royalty-free license to use, reproduce, prepare derivative works of, publicly display, publicly perform, and distribute your Contributions as incorporated into the Project.

IV. Contributor Representations

You represent that you are legally entitled to grant the above license. If your employer(s) has rights to intellectual property that you create, you represent that you have received permission to make Contributions on behalf of that employer, or that your employer has waived such rights for your Contributions to the Company.

V. Outbound Licensing

The Company may distribute the Contributions under any license terms, including without limitation, open source licenses or commercial licenses.

VI. Intellectual Property Rights

You acknowledge that the Company and its licensees and assigns shall have the right to use, exploit, and further license any and all Contributions. Furthermore, you acknowledge that the Company is not under any obligation to provide any compensation or reimbursement for your Contributions under any circumstances.

VII. Moral Rights

You waive all moral rights to your Contributions to the extent permitted by law, or agree not to assert such rights against the Company or its licensees.

VIII. Contribution Acceptance and Review

The Company may accept or reject Contributions at its discretion. The Company may also require additional legal documentation before accepting any Contributions.

IX. Governance

The Project is managed by the Company, which may set additional policies or procedures for the Contribution process as needed.

X. Dispute Resolution

Any disputes arising under this Agreement shall be governed by the laws of Estonia, without regard to its conflict of laws principles, and must be resolved exclusively in the courts of Estonia.

XI. Termination

This Agreement will continue unless and until terminated by either you or the Company. You may terminate this Agreement at any time by notifying the Company in writing and ceasing all use of the Project.

XII. Miscellaneous

A. Amendment

This Agreement may only be modified by a written amendment signed by an authorized representative of the Company.

B. No Waiver

The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.

XIII. Signatory

By contributing to the BLOCX project, you affirm that you have read and agree to abide by the terms and conditions of this Agreement.
